Overview

Justin Heineman focuses his practice on mergers and acquisitions, capital markets, and corporate governance matters. He has over 20 years of experience advising public and private companies on complex domestic and cross-border merger and acquisition transactions, public offerings and private placements of equity and debt securities, corporate governance issues, and securities regulatory matters. As a former general counsel to a public company, Justin approaches issues from the client’s perspective, and understands the critical importance of excellent service delivery in the lawyer-client relationship.

Justin’s broad M&A experience includes advising public and private mid-market and large-cap companies in domestic and international acquisitions, serial acquisition programs, divestitures, joint ventures, and other strategic transactions of varying size and complexity. His capital markets experience includes registered initial and follow-on public offerings, Rule 144A and traditional private placements, “shelf” registrations, “at-the-market” equity offerings, and other transactions. Justin also counsels public company boards, executives, and investor relations professionals on corporate governance issues, SEC disclosure and compliance requirements, and other general corporate matters.

Justin joined Kilpatrick Townsend in 1998, and in 2007 he was elevated to partner in the firm’s Corporate Department, where he specialized in mergers and acquisitions and corporate finance matters. In 2010, he left the firm to join the Legal Department of NCR Corporation, where he served as Law Vice President and Chief Corporate Counsel. At NCR, Justin supported the company’s global M&A, securities, and treasury functions during a period of significant corporate transformation and inorganic growth. In 2018, he joined BlueLinx Holdings Inc., a Fortune 1000, NYSE-listed company, as its General Counsel. As the company’s chief legal officer and a member of its executive leadership team, Justin had oversight responsibility for all BlueLinx legal matters and served as the company’s designated compliance officer until he rejoined the firm in 2021.

Through his experience as a general counsel and executive, Justin has a client’s appreciation for the levels of communication, responsiveness, and value that are the hallmarks of exceptional client service. He brings a proactive approach to each engagement to drive projects at the client’s pace, and seeks creative solutions to achieve his client’s goals.
