Overview

Katherine McClintock focuses her practice on business and finance, mergers and acquisitions, and securities.

Katherine regularly advises domestic and international clients on capital markets and financial transactions. She has represented clients in a range of industries, such as manufacturing, consumer products, automotive, and chemical-based recycling on matters including public and private securities offerings; initial public offerings, including special purpose acquisition company (SPAC) transactions; public and private debt offerings; and general disclosure obligations. She also regularly advises public companies on corporate governance, securities laws, stock exchange rules and regulations, and periodic reporting responsibilities.

Prior to joining the firm, Katherine was a financial markets and corporate associate in the Atlanta, Georgia office of an international law firm where she advised domestic and international clients on capital markets and financial transactions.

While attending the University of Georgia School of Law, Katherine was a member of the Editorial Board of the Georgia Law Review, a teaching assistant for Civil Procedure, and President of the Business Law Society. She also served as a legal extern at a real estate firm specializing in the investment, development, construction, and management of residential communities in Athens, Georgia.

Represented Aegion Corporation, a leading provider of infrastructure maintenance, rehabilitation and technology-enabled water solutions, in connection with the acquisition of Proline Vactor Services, a cleaning, inspection and grouting company servicing customers throughout Florida.

Represented SiteOne Landscape Supply, LLC in the acquisition of Whittlesey Landscape Supplies and Recycling, Inc., a producer and distributor of mulch, soils, stone and landscape supplies in the Austin metropolitan area.

Represented Texas Materials Group, Inc., a subsidiary of CRH plc, in the acquisition of East Texas Asphalt Co., Ltd. and Moore Brothers Construction Company.

Represented Oldcastle Lawn & Garden, Inc., a subsidiary of CRH plc, in the acquisition of Grant County Mulch, Inc.’s Bagging Business, consisting of bagged mulch, bagged stone, bagged potting soil and other bagged products.

*Advised private equity group in the home décor and fragrance sector in $500 million business combination with a publicly traded SPAC.

*Represented Fortune 500 automotive retailer in $600.6 million underwritten offering and $1.4 billion senior notes offering in conjunction with the acquisition of large regional automotive retailer and insurance business.

*Represented target operating company in the recycling/chemicals sector in SPAC acquisition.

*Represented private recycling/chemicals company in initial $48.0 million convertible notes private placement and $12.0 million add-on offering.

*Represented private recycling/chemicals company in connection with a private placement of $250 million of common stock and warrants.

*Regularly assisted in drafting and compliance checking proxy statements and 1934 Act reporting for various firm clients.
