ATLANTA (April 13) – Kilpatrick Townsend & Stockton announced today that partners Mary Craig Calkins and Christina Gattuso served as contributing authors for the American Bar Association (ABA) Business Law Section’s Director's Handbook: A Field Guide to 101 Situations Commonly Encountered in the Boardroom (Director’s Handbook).
The Director's Handbook "identifies 101 topics commonly encountered by public company directors and devotes a brief chapter to each of those topics." Ms. Calkins authored “Directors and Officers Liability Insurance and Other Risk Management Considerations” while Ms. Gattuso authored “Reviewing Securities Filings” and “Dealing with Activist Shareholders.”
Mary Craig Calkins has more than 30 years of experience handling and litigating all aspects of insurance recovery for policyholders in complex, high value matters. Through litigation, arbitration and mediation, she has recovered hundreds of millions of dollars for companies and individuals under directors and officers liability, management liability and professional errors and omissions policies, and has facilitated settlement of some of the most complicated directors and officers liability issues in the country.
Christina Gattuso focuses her practice on corporate and securities matters, financial institution regulatory matters and mergers and acquisitions. Her securities practice includes serving as counsel for both issuers and underwriters in public and private offerings of debt and equity securities and counseling clients on disclosure and other requirements under the federal securities laws. Ms. Gattuso has extensive experience in corporate reorganizations, strategic alliances, joint ventures and mergers and acquisitions for both public and private companies. She also advises boards of directors and board committees on corporate governance matters and best practices.
