Non-disclosure agreements (NDA) are indeed “problem” documents, at various levels. NDAs are probably the most technically dense contractual document (amount of legal issue per word count). There are strongly competing goals inherent in NDAs document (e.g., ease of transaction vs. legal thoroughness). Most likely there are hidden issues in your current NDAs that would render them unenforceable in some (or many) jurisdictions where you may have to litigate them. And even our most time-honored and accepted NDA language is peppered with other issues that could cause you grief in litigation.

Please join us at this interactive session as our speakers point out important but frequently unaddressed issues involving NDAs. They will also explore some less critical but nagging issues, suggest improvements in your NDAs without compromise and, when compromise among your competing goals is necessary, explore choosing the compromise that best suits you.
